Expertise
Mr. Tan's practice covers all aspects of securities law, with
particular emphasis on initial public offerings, registration and
listing of securities, tender offers, and compliance. He also
practices corporate law extensively, primarily focusing on
corporate structuring, take-overs, mergers and acquisitions. As a
sub-specialty, Mr. Tan also handles investments, joint ventures,
and doing business matters.
Mr. Tan has acted as legal counsel for the Philippine Stock
Exchange and with his combined expertise in securities and
corporation laws, Mr. Tan represents and advises a number of
listed companies whose shares are included in the Phisix, the
Philippines' stock index. He also acts as counsel to a number of
Philippine mutual funds, investment houses and securities
brokerage firms. Mr. Tan currently serves as director and/or
corporate secretary of a number of publicly listed as well as
private companies engaged in various business activities and
industries, including a commercial bank, telecommunications and
information technology companies. He was recently appointed
as General Counsel of Xavier School, Inc. and Xavier School
Educational Trust Fund, Inc.
Mr. Tan also represents foreign clients particularly on their
investments in the Philippines.
Education
Mr. Tan earned his Bachelor of Laws degree from the University of
the Philippines, and his Master of Laws degree from the New York
University. He also holds a Bachelor of Arts degree from the San
Beda College of Manila.

Mr. Tan is a member of the Integrated Bar of the
Philippines and the International Bar Association
where he is currently the country representative for
the Philippines. He also represents the Firm in the
Network of Leading Law Firms, a U.S. based

Expertise
Mr. Venturanza's practice covers all aspects of employment law and
labor relations with particular emphasis on preventive counseling,
arbitration and litigation. As management counsel, he has assisted
various clients in certification elections, collective bargaining
negotiations and defending wrongful dismissal suits. His labor
litigation practice has brought him to the National Labor
Relations Commission and other administrative bodies, the Court of
Appeals, and Supreme Court on a multitude of issues and actions.
He also handles the immigration and visa requirements of the
firm's expatriate clients including their employment permits.
Mr. Venturanza's practice also includes the administrative and
regulatory aspects of telecommunications, advising clients on
various issues relating to their compliance with governmental
requirements and has assisted them in securing licenses and
authorizations from the National Telecommunications Commission.
Mr. Venturanza is also in charge of the firm's Housing and
Property Law Departments. He has advised and assisted clients in
the registration and organization of subdivision and condominium
projects, including preparation of conveyance and mortgage
instruments, master deed and declaration of restrictions, and
house rules and regulations. He has pioneered in certain novel
condominium structures for property development.
Education
Mr. Venturanza received his Bachelor of Laws degree from the
University of the Philippines College of Law ("UP"). He also
earned his Bachelor of Arts degree in Economics from UP.

Expertise
Mr. Valdez's core competence is taxation, with corollary interests
in company and property law. These tools have served him well in
novel practice areas that unfolded in the Philippines. He has
participated in several successful privatization efforts of the
government. He is one of the pioneers in the implementation of the
Build-Operate-Transfer law which was first applied to energy and
is credited for solving the crippling brownouts in Metro Manila.
These experiences have served him well in ably handling other BOT
projects involving reclamation, water, waste treatment and
management. During the boom years heralding the coming of the
"Century of the Pacific Rim," he was extremely active in
infrastructure, leisure and tourism, and in cross-border
investments. The coming of the Asian currency crisis has not been
uneventful, as reorganizations, rehabilitation and restructuring
of companies have been the call of the times. Mr. Valdez is
certainly a lawyer in good times as well as in interesting times.
Education
Mr. Valdez received his Bachelor of Laws degree from the Ateneo de
Manila University. He also earned his Bachelor of Science in
Business Administration and Accountancy from the Philippine School
of Business Administration and his Masters degree in Business
Administration from the University of the Philippines.

Ms. Ayson is a registered Philippine Patent and Trademark
Attorney. She has been practicing in the area of Intellectual
Property ("IP") Law since 1986 with particular expertise in
Trademark Law and IP protection, litigating infringement and

cancellation proceedings. She also handles drafting, review and
registration of licensing agreements. Ms. Ayson is also the Firm's

estate planning. She also practices corporation and business law

real estate development projects. With her combined expertise in

In the course of her practice, Mrs. Tan has represented and
advised some of the Philippines' top corporations and business
conglomerates, as well as high net worth individuals. She has also
acted as counsel for various foreign clients investing or doing
business in the Philippines, including internationally known
multinational companies.
Mrs. Tan is often designated as private sector representative in
technical committees of the Philippine Bureau of Internal Revenue.
She also lectures in tax and corporation law at the University of

ASEAN Business Law Program. She has delivered papers in
international fora, some of which have been published. She
recently chaired the International Bar Association's panel on Use

College of Law, University of the Philippines.
Mrs. Tan joined the government in 2003 and was Undersecretary of
Finance until February 15, 2005.

the Philippines, and her Master of Laws (in Taxation) from New
York University on a Gerald L. Wallace scholarship.
She has also a degree in Business Administration and Accountancy
from the University of the Philippines, and is a Certified Public
